Granum Terms of Use

Terms of Use, effective as of October 7, 2025

Thank you for visiting Granum, LLC (f/k/a SingleOps, LLC) (“Granum” or “we”, “us” or “our”).  Please carefully read these Terms of Use and our Privacy Policy which is incorporated into these Terms of Use by this reference.  These Terms of Use apply to Granum’s applications, services, and our website at granum.com (collectively, the “Services”) and governs Customer’s (or “you” or “your”) license to, and use of, our Services. 

THESE TERMS TAKE EFFECT WHEN YOU CLICK THE “I ACCEPT” BUTTON. BY CLICKING ON THE “I ACCEPT” BUTTON YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO BE BOUND BY THESE TERMS AND, IF YOU ARE ENTERING INTO THESE TERMS OF USE ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO YOU AND SUCH ENTITY; AND (C) ACCEPT THESE TERMS OF USE AND AGREE THAT YOU ARE LEGALLY BOUND BY THEM. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS OF USE, YOU MUST NOT CLICK “I ACCEPT” AND YOU MAY NOT USE THE SERVICES.

By using the Services, you agree to these Terms of Use, our Privacy Policy and all applicable laws and regulations.  

The Services are not intended for the use of children under 18 and no such person is authorized to use them.  By clicking “I Accept”, you are representing that you are at least 18 years old and of legal age to enter into legal agreements.

Granum reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Services following the posting of changes indicates your agreement to and acceptance of the changes. The date of the last update of these Terms of Use is indicated at the top of these Terms of Use.  

“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity. “Control,” for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.

“Beta Services” means Granum’s services that are not generally available to customers.

“Client” means a customer of Customer, and “Client Data” means the data associated with such Client that is processed in the Services by Granum on behalf of Customer.

“Customer Data” means electronic data and information submitted by or for Customer to the Services or collected and processed by or for Customer using the Services, including Client Data.

“Documentation” means Granum’s online user guides, documentation, and help and training materials, as updated from time to time, accessible via docs.Granum.com or login to the applicable Service.

“Malicious Code” means code, files, scripts, agents, or programs intended to do harm, including, for example, viruses, worms, time bombs and Trojan horses.

“Non-Granum Applications” means  software that is provided by Customer or a third party and interoperates with a Service, including, for example, an application that is developed by or for Customer.

“Order Form” means Granum’s “kick-off packet” or other ordering document specifying the Services to be provided hereunder that is entered into between Customer and Granum, including any addenda and supplements thereto.

“Services” means the products and services that are ordered by Customer under an Order Form and made available online by Granum, as well as associated offline components, as described in the Documentation. “Services” excludes Non-Granum Applications.

“User” means an individual who is authorized by Customer to use a Service, for whom Customer has ordered the Services, and to whom Customer (or Granum at Customer’s request) have supplied a user identification and password. Users may include, for example, Customer’s employees, consultants, contractors, Clients, and agents.

2.1. Provision of Services. We will (a) make the Services available to you pursuant to these Terms of Use and the applicable Order Forms, and (b) use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for: (i) planned downtime, and (ii) any unavailability caused by circumstances beyond our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, pandemics, strike or other labor problem (other than one involving our employees), Internet service provider failure or delay, Non-Granum Application, or denial of service attack.

2.2. Privacy and Data Security. Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our users.  Additionally, by clicking “I Accept”, you acknowledge, and agree that Internet transmissions are never completely private or secure. You understand that transmissions to or through the Services may be intercepted by others, and users assume the risk of security breaches and all consequences resulting from them.  Please do not send us any sensitive personal information. You are responsible for maintaining the security and confidentiality of your Granum logon credentials and passwords.

2.3. Additional Terms. From time to time, we (or our third-party licensors) may provide different or additional terms and conditions in connection with some of our Services (“Additional Terms”). For example, additional terms may apply to the use of GPS and Dashcam services. In such cases, those Additional Terms will become part of these Terms of Use if you use those Services. In the event of a conflict between the Additional Terms and these Terms, the Additional Terms will control for that conflict unless specified otherwise.

3.1. Subscriptions. Unless otherwise provided in the applicable Order Form, (a) Services are provided as subscriptions, and (b) subscriptions may be added during a subscription term at the same pricing as the underlying subscription pricing, prorated for the portion of that subscription term remaining at the time the subscriptions are added, provided however that any added subscriptions will terminate on the same date as the underlying subscriptions.

3.2. Usage Limits. Services are subject to usage limits. Unless otherwise specified, (a) the Services may not be accessed by more than that number of Users set forth in the Order Form, (b) a User’s password may not be shared with any other individual, and (c) a User identification may be reassigned to a new individual replacing one who no longer requires ongoing use of the Services.  If Customer exceeds a contractual usage limit, we may work with you to seek to reduce your usage so that it conforms to that limit. If Customer is unable or unwilling to abide by a contractual usage limit, Customer agrees to execute an Order Form for additional quantities of the applicable Services promptly upon our request, the fees for which will be prorated through the end of the then-current subscription term, and agrees to pay any invoice for excess usage in accordance with Section 5.2 (Invoicing and Payment).  Any increase to the usage limit and/or any increase in the quantity of Services through an Order Form shall become the new baseline for Your usage of the Services for the remainder of the term of the Services and You shall remain responsible for payment of all associated fees.  In the event that You wish to reduce the number of authorized Users, you must provide Granum with written notice at least sixty (60) days prior to the date on which you would like the reduction to take effect.  Granum shall consider the request and shall work with you in good faith to reach an amicable resolution to the request.

3.3. Your Responsibilities. Customer will (a) be responsible for Users’ compliance with these Terms of Use, (b) be responsible for the accuracy, quality and legality of Customer Data and the means by which Customer acquired Customer Data, (c) prevent unauthorized access to or use of Services, and notify us promptly of any such unauthorized access or use, (d) use Services only in accordance with these Terms of Use, the Documentation and applicable laws and government regulations, (e) comply with terms of service of Non-Granum Applications, and (f) make available to all Customer personnel and to its Clients, and obtain such personnel’s and Clients’ consent to, a privacy policy (or data processing agreement) that accurately describes Customer’s data handling practices, including its provision of such information to Granum under these Terms of Use (including but not limited to any mobile number for the purpose of text messaging), and complies with all applicable laws, rules and regulations. For clarity, in the event that Customer or its Clients utilize any equipment or vehicle tracking devices or dashcams in vehicles pursuant to the Services, Customer shall ensure all affected personnel of Customer and Clients have consented to the sharing of such information to Granum in connection with Granum’s delivery of the Services for Customer.

3.4. Usage Restrictions. Customer will not: (a) make any Service or portion thereof available to, or use any Services for the benefit of, anyone other than Customer, (b) sell, resell, license, sublicense, distribute, rent or lease any Service, or include any Service in a service bureau or outsourcing offering, (c) use a Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to post, store or transmit any information concerning any other person or entity, including, but not limited to, material in violation of third-party privacy rights, (d) transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of any Service or third-party data contained therein, (f) attempt to probe, scan, or test the vulnerability of an our system or network or breach any security or authentication measures, (g) attempt to gain unauthorized access to, or tamper with, any Service or its related systems or networks, our computer systems, or the technical delivery systems of our providers, (h) avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by us or any of our providers or any other third party (including another user) to protect the Services or any of the content on the Services, (i) permit direct or indirect access to or use of any Service in a way that circumvents a contractual usage limit, (j) copy a Service or any part, feature, function or user interface thereof, (k) copy, “scrape,” “crawl” or “spider” any pages or other content in the Services, (l) frame or mirror any part of the Services, (m) access any Service in order to build a competitive product or service or otherwise use the Services and/or the Content (defined below) for any revenue-generating endeavor or commercial enterprise, (n) attempt to decipher, decompile, disassemble, or reverse engineer any Service or any of the software used to provide the Services (except to the extent such restriction is permitted by law), (o) access the Services for purposes of monitoring availability, performance or functionality, or for any other benchmarking or competitive purposes, (p) violate any local, state, provincial, national, or other law or regulation, or any order of a court, (q) post, upload, publish, submit, or transmit any material that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any other person; or (vii) promotes illegal or harmful activities or substances, (r) display, mirror or frame the Services, or any individual element within the Services, Granum’s name, any Granum trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Granum’s express written consent, or (s) advocate, encourage, or assist any third party in doing any of the foregoing.

3.5. Suspension or Termination of Use. Granum reserves the right, at any time, with or without notice: (1) to modify, suspend or terminate operation of or access to the Services, or any portion of the Services, in the event that Granum has a reasonable good faith belief that You are in violation of these Terms of Use or any applicable law or regulation; (2) to modify or change the Services, or any portion of the Services, and any applicable policies or terms; and (3) to interrupt the operation of the Services, or any portion of the Services, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

4.1. Acquisition of Non-Granum Products and Services. Granum or third parties may make available third-party products or services, including, Non-Granum Applications and implementation and other consulting services. Any acquisition by Customer of such Non-Granum products or services, and any exchange of data between Customer and any Non-Granum provider, is solely between Customer and the applicable Non-Granum provider. We do not warrant or support, and we shall have no liability in connection with, Non-Granum Applications or other Non-Granum products or services, whether or not they are designated by Granum as “certified” or otherwise, except as specified in an Order Form.

4.2. Integration with Non-Granum Applications. The Services may contain features designed to interoperate with Non-Granum Applications. To use such features, Customer may be required to obtain access to Non-Granum Applications from their providers and may be required to grant Granum access to Customer account(s) on the Non-Granum Applications. If the provider of a Non-Granum Application ceases to make the Non-Granum Application available for interoperation with the corresponding Service features on reasonable terms, we may cease providing those Service features without entitling Customer to any refund, credit, or other compensation.

4.3. Non-Granum Applications and Customer Data. If Customer installs or enables a Non-Granum Application for use with a Service, Customer grants Granum permission to allow the provider of that Non-Granum Application to access Customer Data as required for the interoperation of that Non-Granum Application with the Service. We are not responsible for any disclosure, modification or deletion of Customer Data resulting from access by a Non-Granum Application.

4.4. Removal of Non-Granum Applications.  If we receive information that a Non-Granum Application hosted on a Service by Customer may violate applicable law or third-party rights, we may so notify Customer and in such event, Customer will promptly disable such Non-Granum Application or modify the Non-Granum Application to resolve the potential violation. If Customer does not take required action in accordance with the above, we may disable the applicable Service and/or Non-Granum Application until the potential violation is resolved.

5.1. Fees. Customer will pay all fees specified in Order Forms. All payments made under such Order Forms and these Terms of Use shall be in United States Dollars. Except as otherwise agreed by the parties in writing, (i) fees are paid in advance and based on subscriptions of Services, not actual usage, (ii) payment obligations are non-cancelable and fees paid are non-refundable, and (iii) licensed quantities cannot be decreased below the minimum amount as defined in the Order Form. Subscriptions for Granum’s Services are auto-renewing on a recurring basis.  Granum reserves the right to change the fees, charges, and tiers applicable to Customer, and to institute new fees, charges, and tiers at the end of the initial subscription term or then current renewal term.  Customer agrees to an annual increase in fees for subscription services of up to 5%. If Customer does not agree to the price increase, then Customer may terminate its subscription for such Services pursuant to Section 11.2. If Customer wishes to add additional services (the “Add-On Services”) to a Customer account during a contract term, the execution of a separate Order Form is required. The annual fee for such Add-On Services will be prorated through the end of the then-current subscription term. 

5.2. Invoicing and Payment. Customer will provide Granum with valid and updated payment information. If Customer provides credit card information to us, Customer authorizes Granum to charge such credit card for all Subscription Services listed in the Order Form for the initial subscription term and any renewal subscription term(s) as set forth in Section 11.2 (Term of Subscriptions). Such charges shall be made in advance, either annually or in accordance with any different billing frequency stated in the applicable Order Form. If the Order Form specifies that payment will be by a method other than a credit card, we will invoice you in advance and otherwise in accordance with the relevant Order Form. Unless otherwise stated in the Order Form, invoiced charges are due net 10 days from the invoice date. You are responsible for providing complete and accurate billing and contact information to us and notifying us of any changes to such information.

5.3. Overdue Charges. If any invoiced amount is not received by us by the due date, then without limiting our rights or remedies, (a) those charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, and/or (b) we may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 5.2 (Invoicing and Payment).

5.4. Suspension of Service and Acceleration. If any amount owing by Customer under this or any other agreement for our services is ten (10) or more days overdue, we may, without limiting our other rights and remedies, accelerate your unpaid fee obligations so that all such obligations become immediately due and payable, and suspend our services to you until such amounts are paid in full.

5.5. Payment Disputes. We will not exercise our rights under Section 5.3 (Overdue Charges) or 5.4 (Suspension of Service and Acceleration) above if you are disputing the applicable charges reasonably and in good faith and are cooperating diligently to resolve the dispute.

5.6. Taxes. Our fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including value-added, sales, use or withholding taxes, assessable by any jurisdiction whatsoever (collectively, “Taxes”). You are responsible for paying all Taxes associated with your license and subscription hereunder. If we have the legal obligation to pay or collect Taxes for which you are responsible under this Section 5.6, we will invoice you and you will pay that amount unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority. For clarity, we are solely responsible for taxes assessable against us based on our income, property, and employees.

5.7. Future Functionality. You agree that your obligation to pay the fees for Services is not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by us regarding future functionality or features.

6.1. Reservation of Rights. Subject to the limited rights expressly granted hereunder, we and our licensors reserve all right, title and interest in and to the Services, including all related intellectual property rights (collectively, with the Submissions (defined below), the “Rights”).  To the extent that any such Rights are not deemed owned by Granum pursuant to the prior sentence, Customer hereby irrevocably assigns and transfers all such Rights to Granum.

6.2. License by You to Granum. Customer hereby grants Granum a worldwide, limited-term license to host, copy, transmit and display Customer Data, and any Non-Granum Applications and program code created by or for Customer using a Service, as necessary for us to provide the Services in accordance with these Terms of Use.  Customer also hereby grants to Granum a non-exclusive, worldwide, royalty-free, fully paid-up, perpetual, and irrevocable license to copy, anonymize, de-identify, aggregate, process and create derivative works of Customer Data for the purpose of deriving Anonymous Data. “Anonymous Data” means anonymous statistical and usage data, and data related to the functionality of the Services, provided such data cannot be used to identify Customer or its Users.  Granum may use Anonymous Data for any and all purposes, including combining or incorporating the Anonymous Data with or into other data and information, using the Anonymous Data to create improved and new success vectors, models, products, and services and generating statistics for marketing purposes.

Subject to the limited licenses granted herein, we acquire no right, title or interest from you or your licensors under these Terms of Use in or to Customer Data of any Non-Granum Application or program code.

6.3. Submissions. Granum shall own all right, title and interest, including all related intellectual property rights, in and to any and all suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by Customer or any other party relating to the Services (collectively, “Submissions”). 

You further acknowledge and agree that any Submission may be shared with others on other sites and platforms and is submitted by you in compliance with these Terms of Use.  

You may not create, post, store, or share any Submissions that violate these Terms of Use or for which you do not have all the rights necessary to grant us the license described above. You represent and warrant that your Submissions, and our use of such content as permitted by these Terms of Use, will not violate any rights of, or cause injury to, any person or entity. Notwithstanding the generality of the foregoing, you consent, for yourself and on behalf of any other person whose information or likeness you submit to Granum, to the use by Granum of the information and that it is submitted in compliance with all applicable laws.  You are responsible for any Submission you provide and for any consequences arising therefrom. Although we have no obligation to screen, edit or monitor Submissions, we may delete or remove Submissions at any time and for any reason with or without notice.

Granum may provide bulletin boards, blogs, or chat rooms on the Services. Granum is not responsible for the content of any user-submitted content. Although we have no obligation to screen, edit or monitor any user-submitted content, we may do so and delete or remove user-submitted content at any time and for any reason with or without notice. 

7.1. Definition of Confidential Information. “Confidential Information” means all information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Confidential Information includes Customer Data; Granum Confidential Information includes the Services and these Terms of Use and all Order Forms (including pricing); and Confidential Information of each party includes business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party. However, Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party as demonstrated by reasonable documentary evidence.

7.2. Protection of Confidential Information. The Receiving Party will use the same degree of care that it uses to protect the confidentiality of its own Confidential Information of like kind (but not less than reasonable care) (i) not to use any Confidential Information of the Disclosing Party for any purpose outside the use of the Services, and (ii) except as otherwise authorized by the Disclosing Party in writing, to limit access to Confidential Information of the Disclosing Party to those of its and its Affiliates’ employees and contractors who need that access for purposes consistent with the Services and these Terms of Use and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein. Customer will not disclose these Terms of Use or any Order Form to any third party other than its Affiliates, legal counsel and accountants without Granum’s prior written consent, provided that a party that makes any such disclosure to its Affiliate, legal counsel or accountants will remain responsible for such Affiliate’s, legal counsel’s or accountant’s compliance with this Section 7.2.

7.3. Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.

8.1. Representations. Each party represents that it validly agrees to be bound by these Terms of Use and has the legal power to do so.

8.2. Granum Warranties.  These Terms of Use, the Order Forms, and the Documentation describe in all material respects the applicable administrative, physical, and technical safeguards for protection of the security, confidentiality, and integrity of Customer Data. We warrant that (a) we will not materially decrease the overall security of the Services during a subscription term, (b) the Services will perform materially in accordance with the applicable Documentation, and (c) subject to Section 4.2 (Integration with Non-Granum Applications) and 4.4 (Removal of Non-Granum Applications), we will not materially decrease the functionality of the Services during a subscription term. For any breach of an above warranty, your exclusive remedies are those described in Section 11.3 (Termination for Cause).

8.3. Customer Warranties. Customer warrants that (a) Customer will not introduce into the Services or our systems any Malicious Code; and (b) Customer owns or otherwise has and will have the necessary rights and consents in and relating to all Customer Data that Customer provides to Granum or submits to the Services.

8.4. Disclaimers. THE SERVICES AND ALL TOOLS AND CONTENT OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS, AS AVAILABLE.” BETA SERVICES ARE PROVIDED “AS IS,” EXCLUSIVE OF ANY WARRANTY WHATSOEVER. EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PARTY MAKES ANY OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND EACH PARTY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, WE DISCLAIM ALL LIABILITY AND INDEMNIFICATION OBLIGATIONS FOR ANY HARM OR DAMAGES CAUSED BY ANY THIRD-PARTY HOSTING PROVIDERS.

NOTWITHSTANDING THE FOREGOING, THIS SECTION DOES NOT LIMIT ANY EXPRESS, WRITTEN PRODUCT WARRANTY OR RELATED DISCLAIMERS THAT ARE PROVIDED BY GRANUM OR ITS SUPPLIERS WITH RESPECT TO A PHYSICAL PRODUCT SOLD BY GRANUM TO YOU, OR ANY WARRANTY ON A PHYSICAL PRODUCT TO THE EXTENT REQUIRED BY APPLICABLE LAW.

9.1. Indemnification by Granum. We will defend Customer against any claim, demand, suit or proceeding made or brought against you by a third party alleging that the use of a Service in accordance with these Terms of Use infringes or misappropriates such third party’s intellectual property rights (a “Claim Against You”), and will indemnify you from any damages, attorney fees and costs finally awarded against you as a result of, or for amounts paid by you under a court-approved settlement of, a Claim Against You, provided you (a) promptly give us written notice of the Claim Against You, (b) give us sole control of the defense and settlement of the Claim Against You (except that we may not settle any Claim Against You without your consent, not to be unreasonably withheld, unless it unconditionally releases you of all liability), and (c) give us all reasonable assistance, at our expense. If we receive information about an infringement or misappropriation claim related to a Service, we may in our discretion and at no cost to you (i) modify the Service so that it no longer infringes or misappropriates, without breaching our warranties under Section 8.2 (Granum Warranties), (ii) obtain a license for your continued use of that Service in accordance with these Terms of Use, or (iii) terminate your subscriptions for that Service upon 30 days’ written notice and refund you any prepaid fees covering the remainder of the term of the terminated subscriptions. The above defense and indemnification obligations do not apply to the extent a Claim Against You arises from a Non-Granum Application, Customer Data, or your breach of these Terms of Use, from any modifications or changes made by Customer, or from any combination with materials, products or services not provided by Granum.

9.2. Indemnification by You. Customer will defend Granum and its subsidiaries, Affiliates, and each of its and their respective employees, directors, officers, shareholders, agents, vendors, licensors, contractors, successors and assigns (collectively, the “Granum Parties”) against any claim, demand, suit or proceeding made or brought against a Granum Party by a third party arising from or relating to (a) your access to or use of the Services, (b) your violation of these Terms of Use or any applicable law or regulation, (c) any disputes between you and any third party, and (d) your violation of any rights of any third party, including, but not limited to, the collection of the Customer Data and the provision of Customer Data to Granum which is or alleged to be in violation of any Customer privacy policy or applicable laws and regulations or alleging that Customer Data infringes or misappropriates such third party’s intellectual property rights (a “Claim Against Us”), and will indemnify the Granum Parties from any damages, attorney fees and costs finally awarded against the Granum Parties as a result of, or for any amounts paid by the Granum Parties under a court-approved settlement of, a Claim Against Us, provided we (i) promptly give you written notice of the Claim Against Us, (ii) give you sole control of the defense and settlement of the Claim Against Us (except that you may not settle any Claim Against Us without our consent, not to be unreasonably withheld, unless it unconditionally releases the Granum Parties of all liability), and (iii) give you all reasonable assistance, at your expense.

9.3. Exclusive Remedy. This Section 9 states the indemnifying party’s sole liability to, and the indemnified party’s exclusive remedy against, the other party for any type of claim described in this Section 9.

10.1 Limitation of Liability. EXCEPT AS OTHERWISE REQUIRED BY APPLICABLE LAW, IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS OF USE, ANY PARTY IS FOUND TO BE LIABLE TO THE OTHER PARTY FOR ANY DAMAGES OR LOSSES WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED TO THESE TERMS OF USE OR YOUR USE OF THE SERVICES, EITHER PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OF USE, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE AMOUNT PAID BY CUSTOMER HEREUNDER IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE ABOVE LIMITATIONS WILL APPLY WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY; HOWEVER, THE ABOVE LIMITATIONS WILL NOT LIMIT CUSTOMER’S PAYMENT OBLIGATIONS UNDER SECTION 5 (FEES AND PAYMENT FOR SERVICES). BY CLICKING “I ACCEPT”, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED. ACCORDINGLY, YOU AGREE TO WAIVE THE BENEFIT OF ANY LAW, INCLUDING, TO THE EXTENT APPLICABLE, CALIFORNIA CIVIL CODE SECTION 1542, THAT OTHERWISE MIGHT LIMIT YOUR WAIVER OF SUCH CLAIMS.

10.2. Exclusion of Consequential and Related Damages. IN NO EVENT AND UNDER NO LEGAL THEORY, WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, WILL EITHER PARTY HAVE ANY LIABILITY TO THE OTHER PARTY FOR ANY LOST PROFITS, LOST REVENUES OR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, COVER OR PUNITIVE DAMAGES, WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

11.1. Term of Subscriptions. The term of each subscription shall be as specified in the applicable Order Form; provided, however, that in no event will a subscription term be shorter than thirty (30) days, and Customer shall be responsible for fees for such 30-day period regardless of whether Customer utilizes the Services during such period. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless Customer gives Granum written notice of non-renewal at least sixty (60) days before the end of the relevant subscription term; provided, however, upon Granum’s receipt of a non-renewal notice from Customer, Granum may terminate Customer’s subscription at the end of the then-current subscription term during which Granum receives Customer’s termination notice so as to prevent Customer from being charged for a new renewal period. Granum may give written notice of non-renewal to Customer at least thirty (30) days before the end of the relevant subscription term.

11.2. Termination for Cause. A party may terminate the agreement governed by these Terms of Use for cause upon 30 days’ written notice to the other party of a material breach if such breach remains uncured at the expiration of such period. Notwithstanding the foregoing, you agree that Granum may, in its sole discretion, without prior notice and to the extent applicable, terminate your access to the Services and/or block your future access to the Services if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Services. You also agree that any violation by you of these Terms of Use will cause irreparable harm to Granum for which monetary damages would be inadequate, and you consent to Granum obtaining any injunctive or equitable relief that Granum deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Granum may have at law or in equity.

11.3.  Termination for Insolvency.  Granum may terminate the agreement governed by these Terms of Use if You become the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation, or assignment for the benefit of creditors.

11.4. Payment upon Termination.  If the agreement governed by these Terms of Use is terminated by us in accordance with Section 11.3, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms. In no event will termination relieve Customer of Customer’s obligation to pay any fees payable to Granum for the period prior to the effective date of termination.

11.5. Customer Data Portability and Deletion. Upon request by Customer made within 30 days after the effective date of termination or expiration of the agreement governed by these Terms of Use, we will make Customer Data available to you for export or download as provided in the Documentation. After that 30-day period, we will have no obligation to maintain or provide Customer Data, and will thereafter delete or destroy all copies of Customer Data in our systems or otherwise in our possession or control as provided in the Documentation, unless legally prohibited.

11.6. Surviving Provisions. Those provisions which by their terms or nature should survive termination or expiration of these Terms of Use shall so survive, including, without limitation, Sections 5 (Fees and Payment for Services), 6 (Proprietary Rights and Licenses), 7 (Confidentiality), 8.4 (Disclaimers), 9 (Mutual Indemnification and Exclusive Remedies), 10 (Limitation of Liability), 11.5 (Payment upon Termination), 11.6 (Customer Data Portability and Deletion), 12 (Governing Law and Jurisdiction) and 13 (General Provisions).

12.1. Agreement to Governing Law and Jurisdiction. You agree that all matters relating to your access to or use of the Services, including all disputes shall be governed by Georgia law and controlling United States federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, or the United Nations Convention on the International Sale of Goods, and any disputes, actions, claims or causes of action arising out of or in connection with these Terms of Use or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia.

12.2. Dispute Resolution. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. You agree to the admissibility of computer records and electronic evidence in any dispute herein.  YOU AGREE THAT NO CLASS ACTION MAY BE PURSUED OR MAINTAINED WITH RESPECT TO ANY DISPUTE REGARDING THESE TERMS OF USE.

12.3. Canada. The parties declare that they have required that these Terms of Use and all documents related hereto, either present or future, be drawn up in the English language only.

13.1. Export Compliance. The Services, other technology we make available, and derivatives thereof may be subject to export laws and regulations of the United States and other jurisdictions. Each party represents that it is not named on any U.S. government denied-party list. You shall not permit Users to access or use any Service in a U.S.-embargoed country or in violation of any U.S. export law or regulation. You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Services, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.

13.2. Anti-Corruption. You represent and warrant that you have not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from any of our employees or agents in connection with the agreement governed these Terms of Use. Reasonable gifts and entertainment provided in the ordinary course of business do not violate the above restriction. If you learn of any violation of the above restriction, you will use reasonable efforts to promptly notify our Legal Department at [email protected].

13.3. Entire Agreement and Order of Precedence. These Terms of Use and the Privacy Policy are the entire agreement between Customer and Granum regarding Customer’s use of Services and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. The parties agree that any term or condition stated in Customer’s purchase order or in any other order documentation (excluding Order Forms) is void. In the event of any conflict or inconsistency among the following documents, the order of precedence shall be: (1) the applicable Order Form, (2) these Terms of Use, and (3) the Documentation.

13.4. Assignment. Neither party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the other party’s prior written consent (not to be unreasonably withheld); provided, however, either party may assign the agreement governed by these Terms of Use in its entirety (including all Order Forms), without the other party’s consent to its Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Notwithstanding the foregoing, if a party is acquired by, sells substantially all of its assets to, or undergoes a change of control in favor of, a direct competitor of the other party, then such other party may terminate the agreement governed by these Terms of Use upon written notice. Subject to the foregoing, these Terms of Use will bind and inure to the benefit of the parties, their respective successors and permitted assigns.

13.5. Relationship of the Parties. The parties are independent contractors. The acceptance of these Terms of Use does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties.

13.6. Third-Party Beneficiaries. Our licensors shall have the benefit of our rights and protections hereunder with respect to the applicable licensor content. There are no other third-party beneficiaries under the agreement governed by these Terms of Use.

13.7. Waiver. No failure or delay by either party in exercising any right under these Terms of Use will constitute a waiver of that right.

13.8. Severability. If any provision of these Terms of Use is held by a court of competent jurisdiction to be contrary to law, the provision will be deemed null and void, and the remaining provisions of these Terms of Use will remain in effect.

13.9. Attorney Fees. You will pay on demand all of our reasonable attorney fees and other costs incurred by us to collect any fees or charges due us under these Terms of Use following your breach of Section 5.2 (Invoicing and Payment).

13.10. Manner of Giving Notice. Except as otherwise specified in these Terms of Use, all notices, permissions and approvals hereunder shall be in writing and shall be deemed to have been given upon: (i) personal delivery, (ii) the second business day after mailing, (iii) the second business day after sending by confirmed facsimile, or (iv) the first business day after sending by email (provided email shall not be sufficient for notices of termination or an indemnifiable claim). Billing-related notices to you shall be addressed to the relevant billing contact designated by you. All other notices to you shall be addressed to the relevant Services system administrator designated by you. All notices to Granum, LLC shall be sent to 1075 Peachtree Steet, NE, Suite 3225, Atlanta, GA 30309.

13.11. Preservation of these Terms of Use. You may preserve these Terms of Use in written form by printing it for your records, and you waive any other requirement that these Terms of Use be evidenced by a written document.

13.12. No Third Party Rights. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

13.13. Notice for California Users. Under California Civil Code Section 1789.3, California website users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N. 13.14. Links to Other Sites. The Services may contain links to other independent third-party websites (“Linked Sites”). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under Granum’s control, and Granum is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites.

13.15. Users Outside of the United States. Granum is operated in the United States. Although the Services are accessible worldwide, not all features, products or services discussed, referenced, provided, or offered through or on the Services are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. If you choose to access the Services from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

13.16. Content. Unless otherwise noted, all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel”, and arrangement of such Content, contained in the Services is owned, controlled or licensed by or to Granum and is protected by trade dress, copyright, patent, and trademark laws, and various other intellectual property rights.

Except as expressly provided in these Terms of Use, no part of the Services and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without our express prior written consent.

The Granum name, the Granum logo, and all other related names and logos are trademarks or registered trademarks of Granum.  All other names, team names, and logos on the Services are trademarks or registered trademarks of their respective owners, where applicable.  Reference to any third party-owned trademarks herein is for informational purposes only and is not intended to indicate or imply any affiliation, association, sponsorship, or endorsement by any owners of such third party-owned trademarks. 

13.17. Copyright Policy. We do not permit copyright infringing activities or infringement of intellectual property rights on the Services and will remove any such content if properly notified that such content infringes on another’s intellectual property rights. If you are a copyright owner or an agent thereof and believe that any content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

Upon receipt of such notice, we will investigate and remove material if necessary. You will be notified of the results of such investigation.

14.1. System Reliability. Granum will undertake commercially reasonable efforts to make the Services available for access and use available 99.5% of the time during any given calendar month (the “Service Level”) not including planned outages for maintenance purposes for which advance notice is provided to the Customer (the “Availability Commitment”). Customer may terminate each applicable Order without penalty in the event that the Availability Commitment is not met for three (3) consecutive months, or the Services are unavailable for access or use for a period of twenty-four (24) consecutive hours or more.
